Allgemeine Geschäftsbedingungen (AGB)	General Terms and Conditions (GTC)
Die nachfolgenden Bestimmungen werden Inhalt des zwischen dem Charterer und AJets Advantage Aviation GmbH Mercatorstraße 30 40545 Düsseldorf Deutschland Tel.: +49 1512 1228740 E-Mail: info@ajets-aviation.com Web: www.ajets-aviation.com (nachfolgend „AJets“ genannt) als Vermittler eines Fluges geschlossenen Vermittlungsvertrages. Davon getrennt wird bei der Buchung ein Vertragsverhältnis zwischen dem Charterer und dem Luftfahrtunternehmen entstehen, das nicht in den Allgemeinen Geschäftsbedingungen von AJets geregelt ist. Die Allgemeinen Geschäftsbedingungen gelten auch, wenn die Buchung von außerhalb der Bundesrepublik Deutschland erfolgt. Separate from this, a contractual relationship between the Charterer and the air carrier will arise upon booking, which is not regulated in the General Terms and Conditions of AJets. The General Terms and Conditions shall also apply if the booking is made from outside of the Federal Republic of Germany.
1. Abschluss des Vermittlungsvertrages	1. Conclusion of the procurement contract
1.1. AJets tritt als Vermittler von Flügen mit Business Jets auf. Diese AGB gelten ausschließlich für den zwischen dem Charterer und AJets geschlossenen Vermittlungsvertrag. Die Pflichten von AJets beschränken sich dabei auf die Vermittlungsleistung. Die ordnungsgemäße Erfüllung der vermittelten Beförderungsverträge als solche gehört nicht zu den Vertragspflichten des Vermittlungsvertrages zwischen Charterer und AJets.	1.1. AJets shall act as an agent for the Charterer for flights with business jets. These GTC shall apply exclusively to the procurement contract concluded between the Charterer and AJets. AJets’s obligations shall be limited to the procurement service. The proper fulfillment of the procured contracts of carriage as such does not belong to the contractual obligations of the procurement contract between the Charterer and AJets.
1.2. Mit der Charteranfrage gibt der Charterer AJets Informationen über die von ihm gewünschten Flüge mit einem Business Jet. Die Charteranfrage kann ausgeführt werden von (i) einer	1.2. natürlichen oder juristischen Person, die diese Charteranfrage als Auftraggeber vornimmt und Fluggäste bestimmt; (ii) einem Endkunden, der selbst Fluggast sein wird; oder (iii) einer natürlichen oder juristischen Person, die im Namen eines Fluggastes oder Auftraggeber handelt. Die Charteranfrage kann mündlich, schriftlich, telefonisch, per Telefax oder auf elektronischem Weg (E Mail, Internet) erfolgen. Die Charteranfrage ist unverbindlich und kostenlos.	such charter request as principal and designating passengers; (ii) an end user who will himself be a passenger; or (iii) a person or entity acting on behalf of a passenger or principal. The charter request can be made orally, in writing, by telephone, by fax or electronically (e mail, Internet). The charter request is non-binding and free of charge.
1.3. Auf Grundlage der Charteranfrage erstellt AJets ein Angebot zum Abschluss eines Vermittlungsvertrages zum Abschluss von Beförderungsverträgen an. Bei elektronischen Charteranfragen bestätigt AJets den Eingang der Charteranfrage unverzüglich auf elektronischem Weg. Diese Eingangsbestätigung stellt noch keine Bestätigung der Annahme eines Vermittlungsvertrags dar.	1.3. 1.4. Der Vermittlungsvertrag kommt mit Zugang der Annahmeerklärung des Charterers gegenüber AJets zustande. Sie soll schriftlich, per Telefax oder in elektronischer Form erfolgen. Weicht der Inhalt der Annahmeerklärung des Charterers vom Inhalt des Angebotes ab, so liegt eine neue Charteranfrage im Sinne von Ziffer 1.2. des Charterers vor. Bei oder unverzüglich nach Vertragsschluss wird AJets dem Charterer eine Buchungsbestätigung in schriftlicher oder elektronischer Form übermitteln.	1.4. The procurement contract shall come into effect upon receipt of the Charterer’s declaration of acceptance vis-à-vis AJets. It shall be made in writing, by fax or in electronic form. If the content of the Charterer’s declaration of acceptance deviates from the content of the offer, this shall constitute a new charter request within the meaning of item 1.2. of the Charterer. Upon or immediately after conclusion of the contract, AJets shall send the Charterer a order confirmation in written or electronic form.
1.5. Grundlage des Vermittlungsvertrags sind die Angaben aus der Charteranfrage und die ergänzenden Informationen, soweit der Charterer solche nach Zustandekommen des Vermittlungsvertrags AJets übermittelt	1.5. hat. Sofern der Charterer Sonderwünsche angegeben hat, sind diese stets unverbindlich. AJets wird diese bei der Buchung an das Luftfahrtunternehmen weiterleiten, kann jedoch keine Garantie dafür übernehmen, dass den Wünschen entsprochen wird. 1.6. Die Luftfahrtunternehmen oder andere Leistungsträger sind von AJets nicht bevollmächtigt, Vereinbarungen zu treffen, Auskünfte zu geben oder Zusicherungen zu machen, die den vereinbarten Inhalt des Vermittlungsvertrages abändern, über die vertraglich zugesagten Leistungen von AJets hinausgehen oder im Widerspruch zur Buchung stehen.	1.6. The air carriers or other service providers are not authorized by AJets to make agreements, provide information, or make assurances that modify the agreed content of the procurement contract, go beyond the contractually promised services of AJets or contradict the booking.
1.7. Mit Zustandekommen des Vermittlungsvertrags wird AJets vom Charterer beauftragt und bevollmächtigt, im Namen des Charterers einen rechtsverbindlichen Beförderungsvertrag (= Hauptvertrag gem. Ziffer 2 dieser Allgemeinen Geschäftsbedingungen) mit einem Luftfahrtunternehmen abzuschließen.	1.7. 1.8. AJets ist berechtigt, vom Vermittlungsvertrag zurückzutreten, wenn für den Charterer kein Beförderungsvertrag vermittelt werden kann, weil kein Luftfahrtunternehmen gefunden werden kann, das den angefragten Flug durchführen kann und/oder möchte.	1.8. 2. Hauptvertrag – Beförderungsvertrag	2. Main contract – contract of carriage
2.1. Der die Hauptleistung betreffende Vertrag (Beförderungsvertrag) kommt zwischen dem Charterer und dem vermittelten Luftfahrtunternehmen zustande.	2.1. The contract concerning the main service (contract of carriage) shall be concluded between the Charterer and the procured air carrier.

2.2. Das Vertragsverhältnis betreffend die Hauptleistung wird durch die Allgemeinen Geschäftsbedingungen des Luftfahrtunternehmens geregelt, die das vermittelte Luftfahrtunternehmen vorgibt und die AJets dem Charterer im Buchungsverlauf oder spätestens unverzüglich nach Bekanntwerden des Luftfahrtunternehmens zur Kenntnis bringt.	2.2 The contractual relationship concerning the main service shall be regulated by the General Terms and Conditions of the air carrier, which the procured air carrier shall provide and which AJets shall bring to the attention of the Charterer during the booking process or at the latest immediately after becoming aware of the air carrier.
2.3. Der Charterer hat für alle Vertragsverpflichtungen von Mitreisenden, für die er die Buchung vornimmt, wie für seine eigenen einzustehen, sofern er diese Verpflichtung durch ausdrückliche und gesonderte Erklärung übernommen hat.	2.3 The Charterer shall be liable for all contractual obligations of fellow passengers for whom he makes the booking, as for his own, provided that he has expressly and separately accepted this obligation.
3. Bezahlung	3. Payment
3.1. Die Zahlung des Flugpreises ist zu dem auf der Buchungsbestätigung jeweils gesondert angegebenen Zeitpunkt zu entrichten. Die Aushändigung der Flugunterlagen erfolgt erst nach vollständigem Zahlungseingang auf dem angegebenen Konto von AJets.	3.1. The payment of the airfare is due at the time specified on the respective booking confirmation. The flight documents will be handed over upon receipt of payment in full to the specified account of AJets.
3.2. Sofern das Luftfahrtunternehmen AJets vom Charterer verursachte zusätzliche Kosten in Rechnung stellt (je nach AGB des Luftfahrtunternehmens z.B. Bodentransportdienste, besonderes Catering, Nutzung von Kommunikationsmitteln (z.B. Internet, Satellitentelefon), Verlängerung von Flughafenöffnungszeiten, Flugzeugenteisung), ist AJets berechtigt, diese Kosten dem Charterer nachzuberechnen. Der Charterer hat diese Nachberechnungen innerhalb von 14 Tagen nach Rechnungstellung zu bezahlen.	3.2. If the air carrier invoices AJets for additional costs caused by the Charterer (depending on the GTC of the air carrier, e.g. ground transportation services, special catering, usage of on board communication (e.g. internet, satcom telephone), extension of airport opening hours, aircraft de-icing), AJets shall be entitled to subsequently charge these costs to the Charterer. The Charterer shall pay these subsequent charges within 14 days after invoicing.

4. Mitwirkungspflichten des Charterers	4. Charterers Obligations
4.1. Der Charterer ist verpflichtet, jeweils vor Versenden der Charteranfrage und unverzüglich nach Erhalt der Buchungsbestätigung alle Daten auf deren Richtigkeit zu überprüfen. AJets stellt ihm dazu angemessene, wirksame und zugängliche technische Mittel zur Verfügung, mit deren Hilfe er die Eingabefehler vor Abgabe der Buchung erkennen und berichtigen kann.	4.1. The Charterer shall be obligated to check all data for correctness before sending the charter request and immediately after receipt of the booking confirmation. AJets shall provide him with appropriate, effective and accessible technical methods for this purpose, with the help of which he can recognize and correct the input errors before submitting the booking.
4.2. Änderungswünsche können ggf. zu erheblichen Mehrkosten beim Luftfahrtunternehmen führen, die vom Charterer zu tragen sind.	4.2. Requests for changes may lead to considerable additional costs for the carrier, which shall be borne by the Charterer.
4.3. Der Charterer garantiert, dass keine sanktionierten Fluggäste an Bord des Fluges sein werden. Darüber hinaus garantiert der Charterer, dass er weder aktiv noch passiv gegen geltende Sanktionen verstößt. Der Charterer stellt AJets frei von Verlusten, Schäden, Kostenverpflichtungen oder sonstigen Ausgaben, die AJets, deren Angestellte, im Auftrag von AJets handelnde Personen oder Vertragspartner von AJets, die durch eine Verletzung von geltenden Sanktionen durch den Charterer oder die Fluggäste entstehen.	4.3. The Charterer warrants that no sanctioned passengers will be on board of the flight. In addition, Charterer warrants that it will not actively or passively violate any applicable sanctions. Charterer shall indemnify AJets against any loss, damage, cost liability or other expense incurred by AJets, its employees, persons acting on behalf of AJets, or AJets‘ contractors arising out of any violation of applicable sanctions by Charterer or its passengers.
4.3. Der Charterer trägt die alleinige Verantwortung dafür, sicherzustellen, dass alle Fluggäste rechtzeitig am Flughafen eintreffen und nicht später als empfohlen vor der planmäßigen Abflugzeit oder zu einer von AJets bestimmten Zeit, je nachdem was früher ist, zum Boarding bereit sind. Es liegt im Ermessen des Luftfahrtunternehmens, jeglichen Flug zu stornieren, falls sich zur	4.3. 4.4. Falls ein Flug wegen falscher Fluggastdaten, sanktionierter Fluggäste oder Verspätung der Fluggäste vom Luftfahrtunternehmen storniert wird, oder das Luftfahrtunternehmen auf verspätete Fluggästewartet, wird der Charterer die dadurch entstandenen Kosten innerhalb von 14 Tagen nach Rechnungstellung an Ajets bezahlen.	4.4. 5. Umbuchungen und Stornierungen der gebuchten Leistungen	5. Changes and cancellations of the booked services
5.1 Die Umbuchung eines gebuchten und bestätigten Fluges ist nur durch Stornierung des gebuchten Fluges und gleichzeitiger erneuter Buchung eines anderen Fluges möglich.	5.1. Rebooking of a booked and confirmed flight is possible only by cancellation of the booked flight and simultaneous re booking of another flight.
5.2. Die Möglichkeit, eine Stornierung einer Buchung vornehmen zu können, richtet sich ausschließlich nach den Beförderungsverträgen/AGB des jeweiligen Luftfahrtunternehmens und kann von AJets nicht beeinflusst werden. Je nach Luftfahrtunternehmen und Zeitpunkt der Stornierung können die Stornierungskosten bis zu 100% des Flugpreises betragen. Die jeweiligen Stornierungsgebühren ergeben sich aus den AGB/Beförderungsbedingungen des Luftfahrtunternehmens. AJets ist berechtigt, die Stornierungsgebühren mit dem gezahlten Flugpreis zu verrechnen.	5.2. 5.3. Für die Möglichkeit der Stornierung, welche vom jeweiligen Luftfahrtunternehmen gemäß 5.2. dieser AGB eingeräumt wird, gelten für die Stornierung hinsichtlich der	5.3. Erstattung der nachstehenden Beträge der Stornierungskosten zwischen Charterer und AJets folgende Bedingungen: 25% des gesamten Flugpreises, wenn mehr als 28 Tage vor Reisebeginn storniert wird; 50% des gesamten Flugpreises, wenn weniger als 28 Tage vor Reisebeginn storniert wird; 75% des gesamten Flugpreises, wenn weniger als 14 Tage vor Reisebeginn storniert wird; 100% des gesamten Flugpreises, wenn weniger als 7 Tage vor Reisebeginn storniert wird. Sollten Stornierungsbedingungen einer Fluggesellschaft bzw. eines Luftfahrtunternehmens abweichende, für den Charterer strengere Bedingungen hinsichtlich der Erstattung von Stornierungskosten vorsehen, so finden die strengeren Bedingungen der Fluggesellschaft bzw. des Luftfahrtunternehmens anstatt der zuvor aufgeführten Anwendung. Der Charterer erklärt sich einverstanden nach Aufforderung den jeweils nach den zuvor genannten Bedingungen anfallenden prozentualen Anteil des Flugpreises als Stornierungskosten in Form einer Zahlung innerhalb von fünf (5) Banktagen nach Erhalt der Rechnung oder Aufforderung an AJets zu leisten.

cancellation costs shall govern the cancellation between Charterer and AJets: 25% of the total air fare, if the cancellation occurs more than 28 days before the beginning of the start of the trip. 50% of the total air fare, if the cancellation occurs less than 28 days before the beginning of the start of the trip. 75% of the total air fare, if the cancellation occurs less than 14 days before the beginning of the start of the trip. 100% of the total air fare, if the cancellation occurs less than 7 days before the beginning of the start of the trip. In the case that an airline or an air carrier has imposed conditions in respect to a cancellation by a Charterer that are more strict towards the Charterer, the conditions imposed by that respective airline or air carrier shall govern the refund of the air fare instead of the above mentioned conditions. Charterer acknowledges that Charterer will reimburse and refund AJets the air fare partially or in total under the above mentioned conditions within five (5) bank working days, as reimbursement for the costs of the cancellation by the Charterer, after having received payment request or invoice from AJets.

Im Flugpreis nicht enthalten sind die zusätzlichen Kosten, die vom Anwendungsbereich der Regelung 3.2. dieser AGB erfasst sind.	The air fare does not include such additional costs that are covered by 3.2. of these GTC.
5.4 Im Fall von Stornierung und/oder Umbuchung bleibt der Anspruch von AJets auf Ersatz entstandener Aufwendungen und entgangenen Vermittlungsentgelts bestehen.	5.4. In the event of cancellation and/or rebooking, AJets’s claim for reimbursement of expenses incurred and lost procurement fees shall remain unaffected.
5.5. Soweit der Charterer den Flugpreis bereits bezahlt hat, wird AJets über eine etwaige Differenz des Flugpreises zu den Kosten nach 5.2. und 5.4. eine Gutschrift erstellen und entsprechend auszahlen.	5.5. If the Charterer has already paid the airfare, AJets will issue a credit note for the difference between the airfare and the costs according to 5.2 and 5.4. and reimburse the Charterer accordingly.
5.6. Soweit der Charterer den Flugpreis noch nicht bezahlt hat, hat er die Kosten nach 5.2. und 5.4. innerhalb von 14 Tagen nach Rechnungstellung an Ajets zu bezahlen.	5.6. 5.7. Für die Bestimmung des Zeitpunkts der Stornierung gilt der Eingang der Mitteilung in Schrift- oder Textform bei AJets. Erfolgt der Eingang nicht an einem Werktag – Samstage zählen nicht als Werktage – gilt die Mitteilung als am nächsten Werktag zugegangen. Erfolgt die Stornierung per Telefax oder per E Mail, muss Sie bis 16:00 Uhr deutscher Lokalzeit bei AJets eingegangen sein, ansonsten gilt sie am nächsten Werktag als zugegangen.	5.7. 6. Widerruf	6. Revocation
6.1. Gem. § 312 Abs. 2 Nr. 5 BGB steht dem Charterer kein Widerrufsrecht bei Beförderungsverträgen im Fernabsatz zu. Das Widerrufsrecht ist somit auch für das Vertragsverhältnis zwischen dem Charterer und dem Luftfahrtunternehmen ausgeschlossen,	6.1. 7. Pass-, Visa-, Zoll-, Devisen- und Gesundheitsbestimmungen	7. Passport, visa, customs, foreign exchange and health regulations.
7.1. Jeder Fluggast ist selbst dafür verantwortlich, dass für seine Person die zur Durchführung des Fluges erforderlichen Voraussetzungen erfüllt sind und sämtliche gesetzlichen Bestimmungen, insbesondere die in sowie ausländischen Ein- und Ausreisebestimmungen, Gesundheitsvorschriften, Pass-, Devisen- , Zoll- und Visabestimmungen, beachtet werden. Gleiches gilt für die Beschaffung erforderlicher Reisedokumente.	7.1. Dem Charterer wird nahegelegt, selbst bei den zuständigen Ämtern und Institutionen Informationen hinsichtlich der in Ziffer 7.1. genannten Bestimmungen einzuholen, zum Beispiel auf der Website des Auswärtigen Amtes unter www.auswaertiges-amt.de. AJets übernimmt keine Haftung für die Richtigkeit und Aktualität seiner Auskünfte hinsichtlich ihm gestellter Fragen zu Ziffer 7.1.	7.2. The Charterer is advised to obtain information himself from the responsible offices and institutions with regard to the provisions mentioned in clause 8.1, for example on the website of the German Foreign Office at www.auswaertiges-amt.de. AJets is not liable for the correctness and up-to dateness of his information with regard to questions posed to him concerning section 7.1.
7.3. Die von dem Charterer übermittelten Namensangaben der Fluggäste im Reisepass oder sonstigen Identifikationsdokumenten müssen exakt mit den Angaben der Buchung/Reiseunterlagen übereinstimmen.	7.3. The passenger’s name information in the passport or other identification documents provided by the Charterer must exactly match the information in the booking/travel documents.
8. Informationspflichten über die Identität des ausführenden Luftfahrtunternehmens	8. Information obligations regarding the identity of the actual air carrier
8.1. Die EU-Verordnung zur Unterrichtung von Fluggästen über die Identität des ausführenden Luftfahrtunternehmens	8.1. The EU regulation on informing passengers about the identity of the actual air carrier obliges AJets to inform

8.2. Steht bei der Buchung das ausführende Luftfahrtunternehmen noch nicht fest, so ist AJets verpflichtet, dem Charterer das ausführende bzw. die ausführenden Luftfahrtunternehmen zu nennen, das wahrscheinlich den Flug durchführen wird bzw. die wahrscheinlich die Flüge durchführen werden.	8.2. 8.3. Sobald AJets bekannt ist, welches Luftfahrtunternehmen den Flug durchführen wird, muss er den Charterer darüber informieren.	8.3. As soon as AJets knows which air carrier will operate the flight, he must inform the Charterer.
8.4. Wechselt das dem Charterer als ausführendes Luftfahrtunternehmen genannte Luftfahrtunternehmen, muss AJets den Charterer über den Wechsel informieren. Er muss unverzüglich alle angemessenen Schritte einleiten, um sicherzustellen, dass der Charterer so schnell wie möglich über den Wechsel unterrichtet wird.	8.4. 10. Haftungsbeschränkungen	10. Limitation of liability

AJets haftet auf Schadensersatz für Schäden, die von ihm vorsätzlich oder grob fahrlässig verursacht wurden und für Schäden aus der Verletzung des Lebens, des Körpers oder der Gesundheit, die AJets zu vertreten hat.	10.1.
